How boards drift into management.

Boards rarely lose their governance posture in a single moment. They drift into it — through two small moves, repeated over quarters, that quietly pull the body from stewardship into operations.

The first move is agenda creep. Operational items — a project status, a marketing campaign, a personnel matter — enter the board packet 'for information.' Over time, informational items become discussion items, and discussion items become decisions. The board is now approving things it has no comparative advantage in approving. Management is either relieved of accountability or slowed by a second layer of it. Either way, the governance body has stopped governing.

The second move is the sidebar. A board member with domain expertise begins to coach management between meetings, informally, one-on-one. The advice is often excellent. It is also outside the deliberative frame. Decisions get shaped in corridors, alignments happen off-record, and the board as a body — the only entity that actually holds fiduciary duty — loses sight of what it is being asked to sanction. When the plenary meets, it is ratifying, not deliberating.

Neither of these moves requires a Chair change to reverse. What they require is a discipline that most boards already know but few practice: an explicit distinction, in the agenda itself, between items being brought for information, for discussion, and for decision — and a standing rule that the second category cannot become the third in the same meeting without notice. Sidebars are handled by requiring that any material coaching be summarized to the full board within one cycle.

The remedy is not more control; it is more clarity. Governance bodies stay in governance mode when the agenda is designed for it and when the informal channel is made visible. The drift is quiet, but the correction is not complicated. It is a matter of restoring the lines that the drift blurred.
